شروط وضوابط بالقانون لإصدار السجل التجارى للأفراد والشركات
ويحدد قانون التجارة إجراءات وشروط إصدار السجل التجاري والقيد فيه، وينص على ضرورة إعداد سجل في الجهة الإدارية المختصة تقيد فيه أسماء التجار سواء كانوا أفراداً أو شركات. ويسري فيما يتعلق بتعيين الخاضعين للقيد في السجل التجاري ومواعيد القيد والبيانات المطلوب تسجيلها وإلغاء القيد والعقوبات المقررة لهم. مخالفة هذه الأحكام والقوانين والقرارات المتعلقة بذلك.
وبموجب القانون، يجب على كل شخص مسجل في السجل التجاري أن يشير على واجهة محله وفي جميع المراسلات والمطبوعات المتعلقة بتجارته إلى اسمه التجاري، ومكتب السجل التجاري المقيد فيه، ورقم القيد. يجوز لكل شخص أن يحصل من مكتب السجل التجاري على نسخة مستخرجة من صفحة التسجيل، وفي حالة عدم التسجيل يكون للمكتب شهادة سلبية، ولا يجوز أن تتضمن النسخة المستخرجة من صفحة التسجيل ما يلي:
(أ) أحكام إشهار الإفلاس إذا حكم برد الاعتبار.
(ب) أحكام الحظر إذا حكم برفعه.
ونص القانون على أن البيانات المقيدة في السجل التجاري تكون حجة على الغير من تاريخ قيدها في السجل ما لم ينص القانون على خلاف ذلك. لا يجوز الاحتجاج على الغير بأي بيان يجب قيده في السجل التجاري ولم يتم قيده إلا إذا ثبت علم الغير بمضمون البيان. لا يجوز للتاجر أن يصر على عدم القيد في السجل التجاري تهرباً من الالتزامات التي يفرضها عليه القانون أو التي تنشأ عن تعاملاته مع الغير بصفته تاجراً.
